Integration Terms

1. Purpose

These Integration Terms govern authorized use of OFCL PRNT CORP's internal, read-only QuickBooks Online integration (the "Integration"). The Integration is operated solely for OFCL's internal business purposes. It is not offered for public use, resale, or use by unrelated third parties.

2. Authorized Users

Only an OFCL owner, employee, or contractor who is expressly authorized to access the connected QuickBooks Online company may use the Integration. Use is currently restricted through an approved Google Chat identity and OFCL-controlled systems.

Users must use the Integration only for legitimate OFCL business purposes, protect confidential information, follow OFCL policies, and stop using the Integration when authorization is withdrawn.

3. Read-Only Functionality

The Integration may retrieve company information, reports, customers, invoices, payments, vendors, bills, expenses, and account or chart-of-accounts information from the connected QuickBooks Online company.

The Integration is read-only by design. It does not create, edit, approve, or delete QuickBooks Online records. It cannot send payments, change transactions, file taxes, or make accounting entries.

4. OAuth and Security

The Integration connects through Intuit OAuth and does not collect or store an Intuit account password. OAuth tokens are encrypted on an OFCL-controlled local system with owner-only permissions. OFCL may revoke tokens, disconnect the Integration, suspend access, or change authorized users at any time.

Users must not share access, impersonate another person, bypass restrictions, expose OAuth credentials, or submit passwords, security codes, tokens, or unnecessary sensitive information through prompts or support requests.

5. Acceptable Use

Users may request only information they are independently authorized to view. Users must not use the Integration for unlawful, fraudulent, harmful, or unrelated purposes; attempt to enable write access without documented approval and renewed security review; sell or use QuickBooks data for advertising or unrelated profiling; or retain QuickBooks-derived information outside approved systems longer than necessary.

6. Human Review Required

Integration output is an informational aid and may be incomplete, delayed, duplicated, misclassified, or inaccurate because of source data, permissions, synchronization, API behavior, software, or user input.

Users must verify important information against QuickBooks Online. Integration output must not be the sole basis for a payment, tax filing, financial statement, credit decision, employment decision, or other consequential action. Qualified accounting, tax, legal, or financial professionals should be consulted when professional judgment is required.

7. Privacy, Confidentiality, and Audit Records

Use of the Integration is subject to OFCL's QuickBooks Integration Privacy Policy and applicable confidentiality and security requirements. QuickBooks-derived information may contain personal, financial, or confidential business information and may be shared only with authorized recipients who have a legitimate need to know.

The Integration maintains sanitized, append-only audit metadata for security, accountability, and troubleshooting. Audit metadata may identify the requester, date, operation, and outcome, but is designed not to contain accounting payloads or authentication secrets.

8. Third-Party Services

QuickBooks Online and its APIs are provided by Intuit and are subject to Intuit's terms, policies, availability, and technical requirements. The Integration also uses OFCL-controlled OpenClaw systems, Google Workspace, and configured artificial-intelligence model providers, currently OpenAI with Anthropic as a configured fallback. These services are subject to their applicable agreements and privacy terms.

OFCL does not control third-party service availability and may modify or suspend the Integration if a provider changes its requirements or creates a security or compliance risk.

9. No Professional Advice; No Guarantee

The Integration does not provide accounting, tax, legal, investment, payroll, or other professional advice. To the maximum extent permitted by law, the Integration is provided "as is" and "as available" without a guarantee of accuracy, completeness, availability, or fitness for a particular purpose.

Nothing in these Terms excludes rights or responsibilities that cannot lawfully be excluded.

10. Suspension and Termination

OFCL may immediately suspend or terminate access when authorization ends, these Terms or OFCL policy are violated, a security concern exists, Intuit access is revoked, or OFCL discontinues the Integration. A former user must stop using the Integration and securely return or delete retained QuickBooks-derived information as directed by OFCL and applicable recordkeeping requirements.

11. Changes

OFCL may update these Terms when the Integration, providers, security controls, authorized users, legal requirements, or intended use changes. Any proposal to add write access or expand data use requires documented owner approval and renewed legal and security review.

12. Governing Law

These Terms are governed by the applicable laws of the State of Illinois, without regard to conflict-of-law rules, except where applicable law requires otherwise.
